Terms of Service

1) Acceptance of these Terms

By accessing or using HART Hub, you agree to these Terms. If you do not agree, do not use the service.

2) What HART Hub Is

HART Hub is a staffing and recruiting platform intended to help certified registered nurse anesthetists (CRNAs) and facilities connect, communicate, and manage job-related information and documents.

3) Eligibility and Accounts

You must be at least 18 years old to use HART Hub. You are responsible for:

• Keeping your login credentials secure
• All activity that occurs under your account
• Ensuring the information you provide is accurate and current

You agree not to create accounts using false information or impersonate others.

4) User Content and Documents

"User Content" includes information and documents you submit or upload (such as resumes/CVs and credentialing-related documents). You retain ownership of your User Content.

By uploading or submitting User Content, you grant HART a non-exclusive, worldwide license to host, store, process, reproduce, and display that content only as needed to operate and improve HART Hub and to provide platform functionality (for example, showing a CV to a facility when appropriate platform permissions are enabled).

You are responsible for ensuring you have the rights to upload and share your User Content and that it does not violate any laws or third-party rights.

5) Platform Rules (Prohibited Conduct)

You agree not to:

• Use HART Hub for unlawful, harmful, fraudulent, or misleading purposes
• Attempt to access other users' accounts or data without permission
• Upload malware or attempt to disrupt the platform
• Scrape or harvest data from the platform without written permission
• Reverse engineer, decompile, or attempt to extract source code except where legally allowed

6) Facility Access and Permissions

Facilities may only access CRNA documents and application materials as permitted by the platform's permission controls and your actions on the platform. HART may adjust or refine permission controls over time.

7) Beta / "As-Is" Nature of Service

HART Hub may be offered in beta. During beta:

• Features may change, break, or be removed
• The service may be unavailable at times
• Data may be modified as part of testing and improvements (we will use reasonable care, but no guarantee)

8) Third-Party Services

HART Hub relies on third-party providers (for example: hosting, authentication, email delivery, and storage). Your use of HART Hub may also be subject to those third parties' terms.

9) Text Messaging (SMS) Terms (A2P 10DLC)

If you provide your mobile number and opt in, HART Hub may send you text messages related to the platform, such as account/security notices, job or shift notifications, application updates, and other service-related alerts you enable.

Consent. You will only receive SMS messages if you affirmatively opt in. Consent to receive text messages is not a condition of purchase (if applicable).

Message Frequency. Message frequency varies based on your settings and activity.

Message and Data Rates. Message and data rates may apply.

Opt-Out. You can opt out at any time by replying STOP. After you opt out, you will no longer receive SMS messages (except a final confirmation message).

Help / Support. Reply HELP for help, or contact support@hartanesthesiasolutions.com.

Supported Carriers / Delivery. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to your mobile carrier and device availability.

Who Sends Messages / Numbers Used. Messages are sent by HART Anesthesia Solutions (HART Hub) from phone numbers owned/controlled by HART and/or through our messaging service providers.

10) Facility Responsibilities, Candidate Forwarding, PRN Tools, Credentialing Assistance, and Locum Coverage

HART Hub is provided "as is" and "as available." To the maximum extent permitted by law, HART disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

HART may provide job posting visibility, candidate forwarding, candidate interest notifications, communication support, PRN shift tools, credentialing-related document tools, locum interest tools, locum coverage support, and other administrative or workforce-related tools for CRNAs, facilities, and anesthesia groups.

Unless HART enters into a separate written agreement expressly stating otherwise, HART does not employ, supervise, credential, license, background check, verify, recommend, guarantee, insure, privilege, or control any CRNA, facility, anesthesia group, job posting, shift, employment relationship, independent contractor relationship, clinical relationship, or patient care activity.

Facilities and anesthesia groups are solely responsible for evaluating candidates, verifying credentials and qualifications, confirming licensure, performing background checks and reference checks, determining clinical suitability, making hiring or contracting decisions, credentialing, privileging, onboarding, scheduling, supervising, compensating, and managing any relationship formed with a CRNA.

CRNAs are solely responsible for ensuring that the information they provide is accurate and current, maintaining their professional licensure and certifications, complying with applicable laws and professional requirements, and evaluating any facility, anesthesia group, job, shift, contract, or work opportunity before accepting it.

If HART provides PRN shift posting, availability, scheduling, calendar, notification, or coordination tools, those tools are provided for administrative convenience only. HART does not guarantee that any shift will be filled, that any CRNA will be available or appear for a shift, that any facility will accept or schedule a CRNA, or that any shift, assignment, or clinical arrangement will meet the expectations of either party.

If HART provides credentialing, document collection, document storage, checklist, status-tracking, or file-sharing tools, those tools are provided to assist with administrative organization only. HART does not act as a credentialing committee, medical staff office, licensing board, background screening provider, payer enrollment authority, compliance officer, or final reviewer of any CRNA's qualifications. Facilities remain solely responsible for reviewing, verifying, accepting, rejecting, maintaining, and acting upon any documents or information provided through HART.

Locum coverage support is separate from HART's no-cost standard job posting. Any locum coverage, placement, assignment, rate, payment, malpractice, travel, housing, onboarding, cancellation, replacement, or assignment-specific terms may require a separate written agreement between the applicable parties. If a separate written agreement applies, that agreement controls to the extent it directly conflicts with these Terms.

HART is not responsible for hiring decisions, credentialing outcomes, privileging decisions, employment decisions, independent contractor arrangements, compensation disputes, scheduling disputes, workplace conduct, clinical performance, patient care outcomes, professional liability claims, or agreements made between CRNAs, facilities, anesthesia groups, or other third parties.

Nothing in these Terms is intended to limit liability where such limitation is prohibited by applicable law.

11) Limitation of Liability

To the maximum extent permitted by law, HART Anesthesia Solutions, HART Hub, and their owners, officers, employees, contractors, agents, representatives, affiliates, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, loss of goodwill, staffing disruptions, scheduling disruptions, credentialing delays, employment disputes, contract disputes, or clinical or operational consequences arising out of or related to your use of HART Hub.

To the maximum extent permitted by law, HART will not be liable for claims, disputes, damages, losses, liabilities, costs, or expenses arising out of or related to any job posting, candidate forwarding, candidate communication, candidate interest submission, hiring decision, credentialing decision, privileging decision, employment relationship, independent contractor relationship, PRN shift, locum assignment, compensation arrangement, workplace conduct, clinical performance, patient care outcome, or agreement between a CRNA, facility, anesthesia group, or other third party.

To the maximum extent permitted by law, HART's total liability for any claim related to HART Hub will not exceed the greater of $100 or the amount you paid directly to HART for use of HART Hub in the 12 months before the event giving rise to the claim. This limitation does not apply where prohibited by applicable law or where a separate written agreement signed by HART expressly provides a different limitation.

12) Indemnification

You agree to defend, indemnify, and hold harmless HART Anesthesia Solutions, HART Hub, and their owners, officers, employees, contractors, agents, representatives, affiliates, successors, and assigns from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of HART Hub
• Your User Content, job postings, candidate submissions, documents, messages, or other information you provide through HART Hub
• Your violation of these Terms or applicable laws
• Your hiring, contracting, credentialing, privileging, onboarding, scheduling, supervision, compensation, workplace conduct, clinical operations, patient care, or professional compliance decisions
• Any employment relationship, independent contractor relationship, PRN shift, locum assignment, compensation arrangement, communication, dispute, or agreement between you and any CRNA, facility, anesthesia group, or other third party
• Your failure to verify credentials, licensure, certifications, references, background information, work eligibility, clinical suitability, or other qualifications before entering into or allowing a work relationship

Nothing in this section requires indemnification where prohibited by applicable law.

13) Suspension and Termination

We may suspend or terminate your account if we believe you violated these Terms or pose a risk to the platform or other users. You may stop using HART Hub at any time.

14) Changes to These Terms

We may update these Terms from time to time. We'll post the updated version with a new effective date. Your continued use of HART Hub after changes means you accept the updated Terms.

15) Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Any disputes will be brought in the state or federal courts located in Arkansas, unless otherwise required by law.
